These Terms of Service ("Terms") govern your access to and use of the websites, mobile applications, software, artificial intelligence features, integrations, and related products and services offered under the Parfit name (collectively, the "Services").
The Services are provided by Parfit Inc., a Delaware corporation ("Parfit," "we," "us," or "our").
By creating an account, accessing or using the Services, or otherwise indicating your acceptance of these Terms, you agree to be bound by them.
If you use the Services on behalf of a company, employer, or other organization, you represent that you have authority to bind that organization to these Terms. In that case, "you" includes that organization.
If you do not agree to these Terms, do not use the Services.
1. Eligibility and Accounts
You must be at least 18 years old, or the age of legal majority where you live, to create an individual Parfit account unless Parfit expressly permits otherwise.
You must provide accurate and current account information and keep that information updated.
You are responsible for:
- maintaining the confidentiality and security of your account credentials;
- activity occurring through your account;
- using reasonable measures to prevent unauthorized access; and
- promptly notifying us if you believe your account has been compromised.
You may not share credentials in a manner that defeats account, subscription, security, or access restrictions.
We may require identity, account, payment, or organizational verification where reasonably necessary to provide or protect the Services.
2. Organization Accounts
If your account is created, purchased, managed, or administered by an employer, business, school, or other organization ("Organization"), the Organization may have administrative rights over your account.
Those rights may include the ability to:
- create or remove accounts;
- manage access and permissions;
- configure integrations and features;
- access account or usage information;
- establish organization-level policies;
- control or request deletion of information; and
- suspend or terminate access.
Your Organization may have separate agreements with Parfit that govern its use of the Services. If a separate written agreement between Parfit and your Organization conflicts with these Terms, the separate agreement controls to the extent of the conflict.
You are responsible for understanding any policies imposed by your Organization relating to your use of Parfit.
3. The Services
Parfit provides software and AI-assisted tools that may help users connect, organize, retrieve, search, summarize, analyze, manage, generate, and act on information.
Features may include, for example:
- connections to email, productivity, storage, communication, or other third-party services;
- search and retrieval;
- knowledge management;
- AI-assisted analysis and generation;
- automated or agentic workflows;
- content organization;
- integrations with third-party applications;
- customized enterprise functionality; and
- other features Parfit may introduce from time to time.
The specific features available to you may depend on your plan, account type, location, Organization, third-party permissions, device, or other factors.
Parfit may add, remove, modify, suspend, or discontinue features from time to time. Where required by applicable law or contract, we will provide appropriate notice of material changes.
Nothing in these Terms requires Parfit to maintain any particular feature indefinitely unless expressly stated in a separate written agreement.
4. Third-Party Services and Connected Accounts
The Services may allow you to connect accounts or services provided by third parties, including email providers, productivity platforms, file-storage providers, artificial intelligence providers, and other applications ("Third-Party Services").
You choose whether to connect a Third-Party Service.
When you connect a Third-Party Service, you authorize Parfit to access, receive, process, and take permitted actions with information from that service to the extent necessary to provide the functionality you request and subject to the permissions you grant.
Your use of a Third-Party Service remains subject to the terms and policies of that provider.
Parfit does not control and is not responsible for:
- the independent operation of Third-Party Services;
- changes made by third-party providers;
- availability or interruption of third-party systems;
- third-party account restrictions; or
- independent acts or omissions of third-party providers.
A Third-Party Service may change or revoke Parfit's access at any time. As a result, certain Parfit functionality may stop working or change.
You represent that you have all rights and permissions necessary to connect the applicable account and authorize Parfit to process information made available through it.
4.1 Google Services
If you connect Google services, Parfit's access to and use of information received from Google APIs is subject to Google's applicable developer policies and Parfit's Privacy Policy.
Parfit will access Google user data only through permissions authorized by the user and for permitted user-facing functionality.
Additional restrictions applicable to Google Workspace data, including restrictions on use, transfer, AI training, human access, retention, and deletion, are described in the Parfit Privacy Policy.
5. User Content
"User Content" means information, files, prompts, instructions, communications, documents, data, and other content that you submit, upload, transmit, connect, or otherwise make available to the Services.
"Inbox Data" means connected-inbox emails, attachments, and associated metadata, together with user-linked prompts, outputs, summaries, extracted knowledge, indexes, embeddings, and other information derived from that inbox content.
As between you and Parfit, you retain your rights in your User Content.
These Terms do not transfer ownership of your User Content to Parfit.
5.1 Permission to Process User Content
You grant Parfit a worldwide, non-exclusive, limited right to host, reproduce, transmit, process, modify, format, index, analyze, and otherwise use User Content only as reasonably necessary to:
- provide the Services you request;
- operate and maintain the Services;
- secure the Services and prevent abuse;
- comply with applicable law;
- enforce these Terms; and
- provide separately purchased, expressly authorized customer-specific model functionality solely in accordance with Section 6.4 and your recorded purchase and opt-in authorization.
This permission lasts only for as long as reasonably necessary for those purposes, subject to applicable retention obligations and the deletion provisions described in the Privacy Policy.
This license does not authorize Parfit or its service providers to use Inbox Data to train, fine-tune, develop, evaluate, or improve shared or general-purpose AI models. Nothing in these Terms permits a use of Google Workspace Data that violates Google's Limited Use restrictions.
5.2 Your Responsibilities for User Content
You are responsible for User Content you make available through the Services.
You represent and warrant that you have the rights and permissions necessary for Parfit to process User Content as contemplated by these Terms.
You must not knowingly use the Services to process content in a manner that violates applicable law or the rights of another person.
6. AI Features
Certain Services use artificial intelligence or machine-learning systems.
AI features may process User Content, Connected Services Data, instructions, contextual information, and other authorized information to generate responses, summaries, recommendations, classifications, actions, or other results ("Outputs").
6.1 Nature of AI Outputs
AI and machine-learning systems may produce incorrect, incomplete, misleading, outdated, or unexpected Outputs.
Outputs may not be unique, and other users may receive similar or identical outputs.
You are responsible for evaluating whether an Output is appropriate for your intended use before relying on it or taking action based on it.
You should use appropriate human judgment and review, particularly where an Output may affect legal rights, financial decisions, employment, healthcare, safety, compliance, or other significant matters.
Unless Parfit expressly states otherwise in a separate written agreement, Outputs are not professional legal, medical, financial, accounting, tax, or other regulated professional advice.
6.2 Automated and Agentic Actions
Some features may permit Parfit to perform actions, communicate with third-party services, draft or send communications, or initiate workflows based on your instructions. Parfit may take external actions only within the permissions you grant and the scope of the instructions you authorize.
You are responsible for:
- configuring those features appropriately;
- reviewing material actions where appropriate;
- ensuring that you have authority to instruct Parfit to perform the action; and
- determining whether additional human approval is appropriate for your use case.
Parfit may implement technical or policy safeguards that limit, delay, require confirmation for, or prevent certain automated actions.
6.3 No General-Purpose Training Using Customer Inbox Data
Parfit does not use customer Inbox Data or related user-linked derivatives to train, fine-tune, develop, evaluate, or improve shared, foundation, or general-purpose artificial intelligence or machine-learning models.
Except solely for the limited customer-specific model processing expressly authorized under Section 6.4, third-party AI providers may receive customer Inbox Data only under binding no-training and zero-retention requirements. A provider that cannot satisfy those requirements must not receive Inbox Data for any other processing.
6.4 Customer-Specific AI Models
Parfit offers separately purchased customer-specific AI model functionality to Organizations. The special terms in this Section 6.4 apply only if the Organization separately purchases the functionality and expressly opts in; general use of the Services does not authorize model training. The purchase or activation confirmation must identify the Organization's authorized data sources and categories (the 'Designated Model Data').
Such functionality may involve training, adapting, fine-tuning, or otherwise configuring a model only with data specifically designated and authorized by the Organization, and solely for that Organization's own permitted purposes.
Parfit may use Designated Model Data only for the subscribing Organization's exclusive, authorized model functionality. Model Data and any customer-specific model and associated artifacts may be retained only while that service remains authorized. If the Organization revokes its authorization, terminates the feature, or requests deletion, Parfit will cease further model training and delete the Designated Model Data and destroy the customer-specific model and associated artifacts in accordance with the active-system and backup-deletion periods stated in the Privacy Policy, except for the limited information specifically required or permitted to be retained by applicable law.
The limited exception in Section 6.3 permits Parfit and its contracted providers to train or fine-tune only the isolated customer-specific model and to retain only Designated Model Data and related model artifacts reasonably necessary for that service, within the scope of the Organization's recorded purchase and express authorization. Any participating provider must be contractually bound to the purpose limitation, isolation, retention, deletion, and model-destruction requirements of this Section. The exception does not cover other Inbox Data, ordinary AI processing, or any provider's independent use. The prohibition on shared or general-purpose model training and the restrictions on Google Workspace Data remain unchanged.
Authorization of a customer-specific model never authorizes Parfit or any provider to incorporate the customer's data into a shared or general-purpose model or to combine its model-training data with other customers' data.
Google Workspace Data may be used only in a Google-permitted personalized model specifically tailored to the authorizing user or Organization for an appropriate user-facing feature. No customer agreement or consent expands the uses prohibited by Google's policies.
7. Ownership of the Services
Parfit and its licensors retain all rights, title, and interest in and to the Services, including:
- software;
- interfaces;
- designs;
- technology;
- algorithms;
- models owned or licensed by Parfit;
- workflows;
- documentation;
- trademarks;
- branding; and
- other intellectual property associated with the Services.
Subject to these Terms, Parfit grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services for their intended purpose during the period in which you are authorized to use them.
Except as expressly permitted by applicable law, you may not:
- copy or reproduce the Services;
- sell, sublicense, lease, or commercially redistribute the Services;
- reverse engineer, decompile, or attempt to derive source code from the Services;
- circumvent usage, security, access, or subscription restrictions;
- use the Services to build or train a competing product through unauthorized extraction or replication;
- systematically scrape or extract the Services or their underlying systems; or
- remove proprietary notices.
Nothing in this Section limits rights that applicable law does not permit you to waive.
8. Outputs
Subject to applicable law and any third-party rights, Parfit does not claim ownership of rights you may have in Outputs generated specifically for you through the Services.
Because AI systems may generate similar content for different users, your rights in an Output do not prevent Parfit from providing similar or identical Outputs to others.
You are responsible for determining:
- whether you may lawfully use an Output;
- whether an Output infringes or incorporates third-party rights;
- whether attribution, permission, disclosure, or review is required; and
- whether an Output is suitable for your intended purpose.
Parfit does not guarantee that any Output is eligible for intellectual-property protection or that you will obtain exclusive rights in it.
9. Feedback
If you voluntarily provide suggestions, ideas, comments, feature requests, or other feedback about Parfit ("Feedback"), you grant Parfit a perpetual, worldwide, irrevocable, royalty-free right to use that Feedback for any lawful purpose without compensation or obligation to you.
Feedback does not include User Content or customer inbox data merely because such information is processed through the Services.
10. Acceptable Use
You may not use the Services to:
- violate applicable law or another person's legal rights;
- infringe intellectual-property, privacy, confidentiality, publicity, or other rights;
- knowingly transmit malware or malicious code;
- obtain unauthorized access to accounts, networks, systems, or information;
- defeat authentication, security, rate limits, permissions, or technical restrictions;
- engage in phishing, credential theft, fraud, impersonation, or deceptive conduct;
- conduct unauthorized surveillance;
- generate or distribute unlawful content;
- use the Services to materially facilitate unlawful activity;
- interfere with the integrity or availability of the Services;
- misrepresent AI-generated content as human-generated where disclosure is required by law;
- use automated systems to extract or replicate substantial portions of the Services without authorization; or
- encourage, assist, or enable others to do any of the above.
Parfit may adopt additional acceptable-use requirements for particular features or services.
We may investigate suspected violations and may suspend or restrict access where reasonably necessary to protect users, third parties, Parfit, or the Services.
11. Privacy and Data Protection
Parfit's processing of personal information is described in the Parfit Privacy Policy. The Privacy Policy explains our information practices and does not lessen the data-use limitations and user rights established in these Terms or under applicable law.
Where Parfit processes personal information on behalf of an Organization acting as a business, controller, or comparable regulated entity, the parties will enter into the additional data-processing terms required by applicable U.S. privacy law.
You are responsible for determining whether your use of the Services requires:
- notices to individuals;
- consent;
- internal policies;
- a data-processing agreement;
- restrictions on particular categories of data; or
- other measures under laws applicable to you.
Parfit may provide tools or documentation intended to assist compliance, but your use of those materials does not constitute legal advice.
12. Security
Parfit uses administrative, technical, and organizational measures designed to protect the Services and information processed through them.
You are responsible for taking reasonable security measures relating to your own account, devices, credentials, personnel, connected systems, and use of the Services.
You must promptly notify Parfit at board@parfit.ai if you become aware of unauthorized access to your account or a security issue involving the Services.
You may not conduct penetration testing, vulnerability scanning, security research, or similar activity against the Services without Parfit's prior authorization, except where applicable law expressly provides otherwise or Parfit has published a program authorizing such testing.
13. Beta and Experimental Features
Parfit may make preview, beta, experimental, early-access, or evaluation features available from time to time.
Such features may:
- be incomplete;
- contain errors;
- change materially;
- have reduced security, reliability, or availability;
- produce unexpected results; or
- be discontinued without becoming generally available.
Unless otherwise agreed in writing, beta or experimental features are provided for evaluation and are not subject to any service-level commitment.
Parfit may impose additional restrictions on the use of such features.
14. Fees, Subscriptions, and Payment
Certain Services may require payment.
Prices, billing intervals, included features, usage limits, renewal terms, and other commercial terms will be disclosed at the time of purchase or in the applicable order form.
You agree to pay all applicable fees and taxes associated with your purchase.
If you purchase a recurring subscription, the subscription will renew as disclosed at the time of purchase unless you cancel it in accordance with the applicable cancellation process.
You may cancel a recurring subscription through the available account or billing controls or by another method disclosed at purchase.
Unless otherwise stated or required by law:
- cancellation takes effect at the end of the current paid subscription period;
- amounts already paid are non-refundable; and
- cancellation does not eliminate amounts already due.
Parfit may change pricing prospectively. If a price change applies to a recurring subscription, Parfit will provide any notice required by applicable law before the changed price becomes effective.
If you purchase through a third-party app store, reseller, or payment provider, additional payment and refund terms imposed by that provider may apply.
15. Suspension and Termination
You may stop using the Services at any time.
You may terminate your account using available account controls or by contacting Parfit as described in the Privacy Policy.
Parfit may suspend, restrict, or terminate access where reasonably necessary because:
- you materially breach these Terms;
- payment is overdue;
- your use creates a security, legal, or operational risk;
- continued provision of the Services may violate law or third-party platform requirements;
- required Third-Party Services become unavailable;
- your account is involved in fraud or abuse; or
- Parfit discontinues the relevant Services.
Where reasonably practicable and appropriate, Parfit will provide notice and an opportunity to address a remediable breach before terminating an account.
We may take immediate action where necessary to address security, fraud, unlawful conduct, material harm, or urgent legal requirements.
Following termination, your right to use the Services ends.
Information associated with the account will be handled in accordance with the Privacy Policy, applicable law, and any separate agreement governing the account.
Sections that by their nature should survive termination - including intellectual-property provisions, accrued payment obligations, disclaimers, limitations of liability, indemnification, and dispute-resolution provisions - will survive.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
PARFIT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
PARFIT DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE;
- ALL FEATURES WILL ALWAYS BE AVAILABLE;
- THIRD-PARTY SERVICES WILL REMAIN AVAILABLE OR COMPATIBLE;
- DATA OR OUTPUTS WILL ALWAYS BE ACCURATE, COMPLETE, OR CURRENT;
- AI OUTPUTS WILL BE UNIQUE OR SUITABLE FOR A PARTICULAR PURPOSE; OR
- THE SERVICES WILL MEET EVERY USER'S REQUIREMENTS.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
Nothing in these Terms excludes any warranty, right, or remedy that applicable law does not permit the parties to exclude.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARFIT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY:
- INDIRECT;
- INCIDENTAL;
- SPECIAL;
- EXEMPLARY;
- PUNITIVE; OR
- CONSEQUENTIAL DAMAGES,
OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PARFIT'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT YOU PAID TO PARFIT FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) US$100.
The limitations in this Section do not apply to liability that cannot lawfully be limited or excluded.
If you use the Services under a separate enterprise agreement, the liability terms in that agreement control to the extent of any conflict.
18. Indemnification
If you use the Services on behalf of a business or Organization, you agree, to the extent permitted by law, to defend, indemnify, and hold harmless Parfit and its affiliates, officers, directors, employees, and agents from third-party claims, damages, losses, liabilities, and reasonable costs arising from:
- your Organization's User Content;
- your Organization's unlawful use of the Services;
- your Organization's material breach of these Terms; or
- your Organization's violation of another person's rights.
This Section does not require an individual consumer to indemnify Parfit to the extent such an obligation is prohibited or unenforceable under applicable consumer law.
Parfit will provide reasonable notice of an indemnified claim and permit the indemnifying party to control the defense, subject to Parfit's right to participate with counsel of its choosing and to approve any settlement that imposes liability, admissions, or non-monetary obligations on Parfit.
19. Changes to These Terms
Parfit may update these Terms to reflect:
- changes to the Services;
- new features;
- changes in law or regulation;
- third-party platform requirements;
- security or operational requirements; or
- changes to our business.
For material changes, Parfit will provide notice as required by applicable law.
Changes will apply prospectively from their stated effective date.
If applicable law requires your consent to a material change, the change will not apply to you until the required consent is obtained.
Material changes to dispute-resolution provisions will not apply retroactively to disputes that arose before the change where applicable law prohibits such retroactive application.
Your continued use of the Services after updated Terms become effective constitutes acceptance where permitted by applicable law.
20. Electronic Communications
You agree that Parfit may provide notices and communications electronically, including through:
- email;
- the Services;
- account notifications; or
- the Parfit website.
Electronic notices satisfy any legal requirement that communications be in writing to the extent permitted by applicable law.
You are responsible for maintaining a current email address associated with your account.
21. Export Controls and Sanctions
You may not use, export, re-export, transfer, or make the Services available in violation of applicable export-control, sanctions, or trade laws.
You represent that you are not prohibited from using the Services under laws applicable to you or Parfit.
Parfit may restrict access where reasonably necessary to comply with applicable sanctions, export-control requirements, or governmental restrictions.
22. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
If you are an individual consumer, this choice of law does not deprive you of mandatory protections provided by the law of your place of residence where those protections cannot lawfully be waived.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except as otherwise provided below, you and Parfit agree that disputes arising out of or relating to these Terms or the Services will be resolved through binding individual arbitration rather than in court.
23.1 Informal Resolution
Before initiating arbitration, the party asserting a dispute must send the other party a written notice describing:
- the name and contact information of the claimant;
- the nature and basis of the dispute; and
- the relief requested.
Notices to Parfit must be sent to board@parfit.ai.
The parties will attempt in good faith to resolve the dispute informally for at least 30 days after receipt of the notice.
Either party may seek urgent temporary or injunctive relief where reasonably necessary to prevent immediate and irreparable harm.
23.2 Arbitration
If the dispute is not resolved informally, it will be resolved by binding arbitration administered by the American Arbitration Association ("AAA").
For disputes involving an individual consumer, the then-current AAA Consumer Arbitration Rules will apply where applicable.
For business-to-business disputes, the applicable AAA Commercial Arbitration Rules will apply unless the parties agree otherwise.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement to the extent applicable.
The seat of arbitration will be San Francisco, California. Hearings may take place remotely, on written submissions, or at another location where required by the applicable AAA rules or nonwaivable consumer law, without limiting any mandatory consumer protections.
The arbitrator may award any individual remedy that would otherwise be available in court, subject to applicable law and these Terms.
23.3 Small Claims
Either party may bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies for that court.
23.4 Individual Proceedings
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND PARFIT AGREE THAT CLAIMS WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE ACTION.
The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual's claim, except where applicable law provides otherwise.
23.5 Opt-Out
You may opt out of the arbitration provisions in this Section by sending written notice to board@parfit.ai within 30 days after you first accept these Terms.
Your notice must include your name, the email address associated with your Parfit account, and a clear statement that you wish to opt out of arbitration.
Opting out of arbitration does not affect the remainder of these Terms.
23.6 Court Proceedings
For disputes that are not subject to arbitration, you and Parfit consent to the exclusive jurisdiction of the state courts located in San Francisco County, California, and the United States District Court for the Northern District of California, San Francisco Division, where federal subject-matter jurisdiction exists, except where nonwaivable law requires a different forum. This provision does not alter any mandatory forum applicable to corporate internal-affairs claims under Parfit Inc.'s Certificate of Incorporation.
24. General Terms
24.1 Entire Agreement
These Terms, the Privacy Policy, and any applicable supplemental terms, order forms, or written agreements constitute the agreement governing your use of the Services.
24.2 Order of Precedence
If there is a conflict:
- a separately executed enterprise or commercial agreement controls for the matters it expressly governs;
- an applicable order form or supplemental product term controls for the relevant product or purchase;
- these Terms control; and
- the Privacy Policy governs Parfit's privacy and personal-information practices.
24.3 Assignment
You may not assign these Terms without Parfit's prior written consent, except where applicable law provides otherwise.
Parfit may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the relevant business, subject to applicable law.
24.4 No Waiver
Failure to enforce a provision of these Terms is not a waiver of that provision or any other provision.
24.5 Severability
If any provision is found unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect, unless the unenforceable provision is essential to the parties' agreement and applicable law requires a different result.
24.6 No Third-Party Beneficiaries
Except as expressly stated in these Terms, these Terms do not create rights for third parties.
24.7 Force Majeure
Parfit is not liable for delay or failure caused by events beyond its reasonable control, including failures of telecommunications or cloud providers, third-party platform outages, natural disasters, war, terrorism, labor disputes, governmental actions, utility failures, widespread internet disruption, or similar events.
